Agreement to our legal terms

We are Initek Consulting, Inc. ("Company," "we," "us," "our"), a California corporation located at 10272 Aviary Dr, San Diego, CA 92131, United States. We operate Fleet Integrations, which includes the website https://www.fleet-integrations.com (the "Site"), the Fleet Integrations platform and web application, our APIs, and related features such as the Fleet Assistant, Bus SOS, public tracking links and forms, and the text messages and emails the platform sends (together, the "Services").

The Services are used by bus and motorcoach operators in the United States and Canada. They connect an operator's telematics, booking and dispatch, payroll, and maintenance systems, and add features that combine data across those systems.

These Terms and Conditions (the "Legal Terms") are a binding agreement between Initek Consulting, Inc. and the business that subscribes to the Services (the "Customer"). Every person who uses the Services on the Customer's behalf (an "Authorized User") must also follow them. If you accept these Legal Terms for a business, you confirm that you have authority to bind that business, and "you" means the business. By accessing or using the Services, you agree to these Legal Terms. If you do not agree, do not use the Services.

Signed agreements control. If the Customer has signed a separate agreement, order form, or data processing agreement with us (an "Order"), that Order controls wherever it conflicts with these Legal Terms.

Public features. Some features can be used without an account, such as sending a Bus SOS request, opening a tracking link, or submitting a public form. People who use them must follow sections 7 and 9. Those features are provided on behalf of the operator that made them available.

Accounts may only be created by people who are at least 18 years old and are acting on behalf of a business.

1. Accounts and Authorized Users

The Customer controls who has access to its account and what each Authorized User can do. The Customer is responsible for its Authorized Users' actions, for keeping account information accurate, and for keeping passwords, passkeys, API keys, and service-account credentials confidential. Each account login is for one person. Tell us promptly at support@initekconsulting.com if you suspect unauthorized access. API access is available only with credentials we issue and is subject to any documented limits.

2. Fees and payment

Fees are set out in the Customer's quote or Order and on our pricing page. Fees are charged monthly per package, based on the Customer's vehicle count. Usage-based charges, such as text messages above an included amount, certain third-party integrations, and custom development the Customer requests, are billed as quoted. Unless an Order says otherwise:

  • Subscription fees are invoiced monthly. Payment is due by the date shown on the invoice and may be made by card or bank (ACH) payment through our payment processor, Stripe, or by check.
  • Fees do not include taxes. The Customer is responsible for applicable sales, use, and similar taxes, other than taxes on our income.
  • We may change fees with at least 30 days' notice by email. Changes take effect at the start of the next billing period after the notice period ends.
  • If an invoice is more than 30 days overdue, we may suspend the Services after giving at least 10 days' written notice.
  • The Customer must update the account if its vehicle count changes, and we may adjust fees to match the actual vehicle count.
  • We may correct billing errors, including errors in invoices that have already been paid.
  • Onboarding includes up to 2 hours of training sessions by video call at no charge. We record these sessions so the Customer's staff can watch them later, and we announce the recording at the start of each session.
  • Subscription fees include up to 1 hour per month of general support. Unused support time does not carry over.
  • Onboarding or support beyond these amounts, and enhancements or custom development the Customer requests, are estimated in advance and billed monthly at our hourly rate.

Help and support. The web application includes a help library and the Fleet Assistant, an AI assistant that answers questions about how to use the Services. Questions and issues are handled through our support ticket system, with the support hours and response times set out in our Service Level Agreement.

3. Subscription term and cancellation

Unless an Order says otherwise, subscriptions are month to month and renew automatically each month. The Customer may add or drop packages, or cancel, at any time by emailing support@initekconsulting.com. Cancellation takes effect at the end of the current billing period, and there is no early-termination charge. We may also end any subscription, for any reason, by giving at least 60 days' written notice. The subscription then ends on the date in the notice, and we refund any fees paid for time after that date. Fees already paid are non-refundable, except where this section, an Order, or the law says otherwise.

4. Customer Data

Ownership. "Customer Data" means the data the Customer or its Authorized Users submit to the Services, or that the Services collect from systems the Customer connects. Examples are booking, trip, vehicle, location, driver, and passenger data. As between the parties, the Customer owns Customer Data.

Our use. The Customer gives us a non-exclusive license to host, copy, process, transmit, and display Customer Data as needed to provide, support, secure, and improve the Services, and as the Customer instructs. We may create and use aggregated or de-identified data that does not identify the Customer or any person, for example to measure and improve the Services. We will not sell Customer Data.

Customer responsibilities. The Customer is responsible for the accuracy of Customer Data and for having the rights to provide it. It is also responsible for giving any notices and obtaining any consents that the law requires from its drivers, employees, passengers, and contacts. That includes notices about vehicle location tracking, driving-safety monitoring, and text messages the Customer sets up.

Export and deletion. For 30 days after a subscription ends, the Customer may ask us for a limited export of its Customer Data, which we provide for an additional fee. We delete or de-identify Customer Data within 90 days after the subscription ends, as described in our Data Retention Policy, except where we must keep it to meet legal obligations. The Customer is responsible for keeping its own copies of records it needs, such as payroll and compliance records. The Services are not intended as a system of record or a backup service.

5. Third-party services and integrations

Many features depend on systems the Customer connects, such as telematics, booking and dispatch, payroll, and maintenance providers ("Third-Party Services"). By connecting a Third-Party Service, the Customer authorizes us to access it with the credentials or tokens the Customer provides and to exchange data with it as the Services require. The Customer's use of a Third-Party Service is governed by its own agreement with that provider, including any fees and usage limits. We are not responsible for the availability, accuracy, or security of Third-Party Services. If a provider changes or restricts its service, the related features may change or stop working. Links to other websites are provided for convenience, and we do not endorse them.

6. Operational and safety notice

The Services are tools that support the Customer's own operations and decisions. They do not replace the Customer's judgment or its responsibilities as a transportation operator. In particular:

  • Emergencies. Bus SOS and other alerts are not an emergency service. In an emergency, call 911 or local emergency services first.
  • Hours of service. Hours-of-service clocks and alerts in the Services are copied from the Customer's telematics provider for convenience. The Customer's electronic logging device (ELD) remains the official record of duty status.
  • Timeliness and accuracy. Locations, arrival estimates, alerts, notifications, and reports depend on data from Third-Party Services, mobile networks, and messaging carriers. They may be delayed, incomplete, inaccurate, or not delivered. For example, a message is not delivered if the recipient has opted out.
  • Payroll and compliance. Payroll exports, mileage reports, and scorecards are prepared from the data available. The Customer must review them before using them for pay, billing, discipline, tax, or regulatory purposes.

The Customer remains responsible for dispatch decisions, the safety of its passengers and drivers, and compliance with transportation, labor, privacy, and other laws that apply to it.

7. Bus SOS, tracking links, and public forms

Bus SOS. By joining the Bus SOS network, an operator agrees that, when it broadcasts a request, the incident location, vehicle details, request notes, and its dispatcher's contact details are sent to other participating operators in the selected area. It also agrees that its company name and yard locations will be shown on the public Bus SOS yard map. Bus SOS only puts operators in touch with each other. We do not guarantee that anyone will respond or be able to help. We are not a party to, or a broker of, any arrangement between operators, and we are not responsible for the services one operator provides to another. Do not send false or abusive SOS requests.

Tracking links and public forms. Anyone who has a tracking link can view what it shows until the link expires. The Customer decides who receives its links. Information submitted through a public form goes to the operator that published it. Do not submit information you do not have the right to share.

8. AI features

The Fleet Assistant and AI-written summaries use OpenAI to generate content from Customer Data, as described in our Privacy Policy. AI-generated output may be inaccurate or incomplete, so check it before relying on it. The Customer may use its own OpenAI account for these features or ask us to turn them off.

9. Text messaging

Program. The Services send text messages that a Customer sets up. These include operational alerts to dispatchers and drivers, trip notifications to passengers and group contacts, vehicle status messages, and Bus SOS messages. Message frequency varies with the operator's trips and settings.

Consent. A Customer that adds a phone number to the Services confirms that it has the recipient's permission, as the law requires, to send these messages to that number. Mobile numbers and opt-in information are never shared with third parties for their marketing purposes.

Opting out. Reply STOP to any message to stop receiving messages from that number. You may receive one message confirming the opt-out. Because opt-outs are recorded per phone number, replying STOP stops all messages from that Fleet Integrations number, including those sent on behalf of other operators. Contact the operator, or us, if you want to start receiving messages again.

Rates and carriers. Message and data rates may apply, depending on your carrier and plan. Carriers are not liable for delayed or undelivered messages.

Help. For help, email support@initekconsulting.com.

10. Acceptable use

You may use the Services for the internal business purposes of the Customer. You agree not to:

  • use the Services in violation of any law, including laws on privacy, electronic monitoring, text messaging, and employment;
  • use the Services to track, harass, or harm a person, or to track a vehicle or person you are not authorized to track;
  • access another customer's data, or try to get around access controls, rate limits, or other security features;
  • access the Services through automated means other than our APIs used with credentials we issued, or scrape, crawl, or harvest data from the Services;
  • put an unreasonable load on the Services or the Third-Party Services they connect to, or interfere with their operation;
  • upload viruses or other malicious code;
  • share account credentials, or impersonate another person or business;
  • except as the law allows, decompile, reverse engineer, or copy the software behind the Services, or use the Services or our Content to build a competing product; or
  • resell or sublicense the Services, or make them available to anyone other than Authorized Users, without our written permission.

We may monitor use of the Services for compliance with these Legal Terms and for security. We may remove content or disable features that violate them or put the Services at risk.

11. Intellectual property and feedback

We and our licensors own the Services and the software, designs, text, graphics, and other content in them (the "Content"), as well as the Fleet Integrations name and logos (the "Marks"). These are protected by intellectual property laws. Subject to these Legal Terms and payment of fees, we grant the Customer a non-exclusive, non-transferable right, for the length of its subscription, to use the Services and download reports for its internal business purposes. We reserve all rights not expressly granted.

If you send us suggestions or feedback about the Services, we may use them without restriction or compensation. Feedback does not include Customer Data, and it does not make us the owner of anything else you submit.

12. Confidentiality

Each party may receive non-public information from the other, such as Customer Data, pricing, and product or business plans ("Confidential Information"). The receiving party will use the other party's Confidential Information only to perform under these Legal Terms. It will protect that information with at least reasonable care and disclose it only to employees, contractors, and service providers who need it and are bound by similar obligations. These obligations do not apply to information that is or becomes public through no fault of the receiving party, that was already known to it, that it developed independently, or that it received lawfully from a third party. A party may disclose Confidential Information when the law requires, after giving notice where the law allows.

13. Security and privacy

We use reasonable technical and organizational measures designed to protect the Services and Customer Data. If we learn that a security incident has resulted in unauthorized access to Customer Data, we will notify the affected Customer without undue delay and provide information reasonably needed to respond. Our Privacy Policy explains how we handle personal information, our Data Retention Policy explains how long we keep it and how it is deleted, and our Service Level Agreement describes our uptime, support, and recovery targets. All three are part of these Legal Terms. The Services are hosted in the United States. The Services are not designed to meet industry-specific requirements such as HIPAA or FISMA, so do not use them to store information subject to those laws.

14. Suspension and termination

We may suspend access to the Services, in whole or in part, under any of these conditions:

  • payment is overdue as described in section 2;
  • use of the Services poses a security risk or may cause harm to the Services, other customers, or others;
  • use of the Services violates section 10 or the law.

Where practical, we will give notice first and limit a suspension to what is needed. Either party may end the Customer's subscription as described in section 3. Either party may also end it if the other materially breaches these Legal Terms and does not fix the breach within 30 days of written notice. When a subscription ends, access to the Services ends, the Customer pays any fees owed through the end of the billing period, and section 4 governs export and deletion of Customer Data. Sections 2 (for amounts owed), 4, 6, 7, 11, 12, and 16 through 22 survive termination.

15. Changes to the Services and these Legal Terms

We continually improve the Services and may add, change, or remove features. We will give Customers reasonable advance notice of changes that materially reduce the core functionality of a package they pay for. We may update these Legal Terms. For material changes, we will notify Customers by email or in the Services at least 30 days before the changes take effect, unless a change is required sooner by law. Continued use after the effective date means the Customer accepts the updated terms. A Customer that does not accept them may cancel under section 3. Changes to a signed Order require a written amendment signed by both parties.

16. Disclaimer

EXCEPT AS EXPRESSLY STATED IN THESE LEGAL TERMS OR AN ORDER, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. WE ALSO DO NOT WARRANT THAT DATA FROM THIRD-PARTY SERVICES, LOCATIONS, ARRIVAL ESTIMATES, ALERTS, TEXT MESSAGES, OR AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, TIMELY, OR DELIVERED.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING FROM THE SERVICES OR THESE LEGAL TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE LEGAL TERMS WILL NOT EXCEED THE AMOUNTS THE CUSTOMER PAID US FOR THE SERVICES IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY.

18. Indemnification

The Customer will defend, indemnify, and hold harmless us and our officers, employees, and agents from third-party claims, and related losses and reasonable attorneys' fees, arising from any of the following:

  • Customer Data, or the Customer's failure to give notices or obtain consents required by section 4 or 9;
  • the Customer's or its Authorized Users' use of the Services in breach of these Legal Terms or the law;
  • the Customer's dispatch, transportation, or employment decisions.

We will notify the Customer promptly of any such claim and cooperate in its defense at the Customer's expense. The Customer may not settle a claim in a way that imposes obligations on us without our consent.

19. Governing law and dispute resolution

Governing law. These Legal Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply.

Informal negotiation. Before starting arbitration or a lawsuit, a party must give the other written notice of the dispute and try in good faith to resolve it for at least thirty (30) days.

Binding arbitration. Any dispute that is not resolved informally will be finally resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, before a single arbitrator, in San Diego, California. The arbitration may be conducted in person, through documents, by phone, or online. Judgment on the award may be entered in any court with jurisdiction. Disputes will be arbitrated only on an individual basis, not as a class, consolidated, or representative action.

Exceptions. Either party may bring a claim in court to protect its intellectual property or Confidential Information, to seek injunctive relief, or to collect unpaid fees. Any such court case, and any dispute that is found not to be subject to arbitration, will be brought in the state or federal courts in San Diego County, California, and the parties consent to their jurisdiction. A claim must be brought within two (2) years after it arises.

20. Electronic communications and signatures

You agree that we may give notices, invoices, and other communications electronically, by email or in the Services, and that electronic communications, records, and signatures satisfy any legal requirement that they be in writing or signed.

21. California users

If a complaint is not resolved satisfactorily, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

22. Miscellaneous

These Legal Terms, any Order, and the policies referenced in them form the entire agreement between the parties about the Services. They replace any earlier understandings on that subject. If an Order conflicts with these Legal Terms, the Order controls. Neither party may assign these Legal Terms without the other's consent, except to a successor in a merger, acquisition, or sale of all or substantially all of its relevant business or assets. Neither party is liable for delays or failures caused by events beyond its reasonable control, other than failure to pay. If any provision is held unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver. The parties are independent contractors, and nothing here creates a partnership, joint venture, employment, or agency relationship. Notices to us should be sent to support@initekconsulting.com. Notices to the Customer will be sent to its account administrator or billing contact.
